This is a legal document between you and LOOK Production.
Read this document in its entirety before you download any image or purchase any product.
By downloading any image or purchasing any product from this website you agree to be bound by the terms of this agreement.

If you are entering into this agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer and to you as a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this agreement and your rights under this agreement will be terminated.
Grant of Rights. Subject to the terms of this Agreement:
1. Licensee has the non-exclusive, non-transferable, non-sublicensable right to Reproduce the Licensed Material identified in the Invoice an unlimited number of times in any and all media for the following purposes (together the “Permitted Uses”): Advertising and promotional materials; Broadcast and theatrical exhibitions; Print publications and physical products; Electronic publications including website design, up to a maximum resolution of 72dpi; and Any other uses approved in writing by LOOK Production.
2. Licensee has the right to have the Licensed Material Reproduced by subcontractors of Licensee, provided that Licensee ensures that such subcontractors agree to abide by the provisions of this Agreement.
3. Licensee may alter, crop, manipulate and create derivative works of the Licensed Material.
4. Licensee's rights to the Licensed Material will be quoted on an individual basis and predetermined.
Restrictions.
1. Licensee may not sublicense, sell, assign, convey or transfer this Agreement or any of its rights under this Agreement.
2. Licensee may not sell, license or distribute any derivative work containing the Licensed Material in a way that would allow a third party to download, extract or access the Licensed Material as a standalone file.
3. Licensed Material shall not be incorporated into a logo, trademark or service mark.
4. Licensee may not post the Licensed Material online in a downloadable format or enable it to be distributed via mobile telephone devices.
5. If any Licensed Material featuring a model is used in (i) a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service; or (ii) connection with a subject that would be unflattering or unduly controversial to a reasonable person, Licensee must accompany each such use with a statement that indicates that the person is a model and the Licensed Material is being used for illustrative purposes only.
6. The Licensed Material may not be used in a pornographic, defamatory or otherwise illegal manner, whether directly or in context or juxtaposition with other materials.
7. Licensee must abide by any restriction on use notified to it by LOOK Production before or at the time of delivery of the Licensed Material, either in the information accompanying the Licensed Material or otherwise.
8. If the Licensed Material is used in an editorial manner, Licensee must include the following credit adjacent to the Licensed Material: “[Photographer’s name]/[Name of collection]/LOOK Production”.
9. While efforts have been made to correctly caption the subject matter of the Licensed Material, LOOK Production does not warrant the accuracy of such information.
Copyright.
No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, LOOK Production grants Licensee no right or license, express or implied, to the Licensed Material.
1. Images are not sold they are licensed. The rights granted to you are personal to you or your employer and may not be sublicensed, transferred, or assigned to another party. If you purchase a license but do not use the rights granted in that license, you are not entitled to a refund of the purchase price.
2. LOOK Production PROVIDES NO MODEL OR PROPERTY RELEASES FOR THE IMAGES. You are responsible for obtaining any model or property releases required for your intended use of an image. You should CONSULT YOUR LEGAL ADVISOR as to whether a release is required to use any such Image. Some jurisdictions provide legal protection to people, places and things where an Image is to be used for commercial purposes. LOOK Production conveys no rights or warranties with regard to the use of names, trademarks, registered or copyrighted designs or works of art depicted in any Image, and you must be satisfied that all the necessary rights or consents, as may be required for use are obtained.
3. The image may not be sold to the public including any online or other electronic distribution. The Image(s) may not be sold or sublicensed alone or as part of any product.
4. Use of an Image in a manner that is contrary to a restriction stated in this Agreement is prohibited. Pornographic, defamatory, libellous or otherwise unlawful use of an Image is prohibited.
5. Warranty and Limitation of Liability: LOOK Production warrants the digital copy of the Image in the form downloaded by you to be free from defects in material and workmanship (not including "artefacts" or other flaws inherent in prints of the particular vintage) for 90 days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the digital copy of the Image or refund of the license fee paid by you.
6. Indemnification: You agree to indemnify and hold LOOK Production harmless against any claim for damages, losses or any costs, including attorneys' fees, arising in any manner whatsoever from your unauthorized use of any Image supplied to you by LOOK Production or for your breach of any of the terms of this Agreement.
7. No variation of any of the terms in this agreement shall be effective unless agreed in writing by LOOK Production and you.
